will be closed from 12 June 2012 to 15 June 2012 (both days inclusive) and 21 June 2012 to 26 June 2012 (both days inclusive), during which periods no transfer of shares will be registered.

The Member of the above-named Company, acting by written consent without a meeting on 30 May 2012 passed the following resolutions:

(1)THAT the Company be wound up voluntarily, pursuant to the provisions of the Companies Act 1981;

(2)THAT Robin J Mayor be and she is appointed Liquidator for the purposes of such winding-up, such appointment to be effective forthwith.
