THE COMPANIES ACT

Joseph De Mello De Costa and Michael Joseph De Costa (the Applicants) give notice of their application to incorporate a local company, to be named Duas Vistas Ltd., with the specific object of acquiring, holding and managing the land described in the schedule below as a condominium complex, and with unrestricted objects and the capacity, rights, powers and privileges of a natural person.

SCHEDULE

The lot of land situate at Bailey’s Bay in Hamilton Parish Bermuda (shown located on the Bermuda 2000 National Grid at grid reference E 552865 N138510) containing 0.12 of an hectare shown delineated, outlined in red and partly coloured green and designated as lot 1a on the plan (the Plan) annexed to a conveyance made on the 5th day of November 2010 between (1) Juanita Esther Guishard and Jonathan Arthur David Guishard (the Vendors) and (2) the Applicants and bounded: 

1.Northerly by land formerly of E. Outerbridge and measuring 28.19 meters along the boundary with that land; 

2.Easterly by land designated as Mount Wyndham and measuring 43.12 meters along the boundary with that land;

3.Southerly by land of the Vendors (including part of a road 3.66 meters wide shown delineated and coloured yellow on the Plan) and measuring 27.12 meters along the boundary with that land (the Vendors’ Land); and 

4.Westerly by land formerly of Linda Loretta Tailford (the Neighbour) and measuring 43.29 meters along the boundary with that land (the Neighbour’s Land);  

Or however otherwise the lot of land described above (the Lot) may be bounded may measure or ought to be described; 

Subject to the following encumbering easements and covenants in favour of the Neighbour and the owners for the time being of the land adjoining the Western boundary of the Lot and for the Vendor and the owners for the time being of the land adjoining the Southern boundary of the Lot and their respective tenants and servants and all other persons lawfully authorized:

(i)full free and unrestricted right and liberty of way and passage for going to or from such land with or without animals and vehicles of all descriptions over and along the portion on the Lot at its South-western corner shown coloured green on the Plan, (the Encumbering Right of Way) being a part of the road described below

(ii)the right in common with any others having similar rights to free passage of drainage watercourses electricity and cable services through such drains pipes watercourses cables wires and other conducting media as may be laid or constructed in or under the Encumbering Right of Way 

(iii)the right in common with others having like rights to free passage of drainage watercourses cables wires and other conducting media as may be laid or constructed in  or under the Encumbering Right of Way 

(iv)the right to enter upon such parts of the Encumbering Right of Way as are necessary for the purposes of constructing maintaining and repairing such drains pipes watercourses cables wires and other conducting media making good forthwith any damage so caused

(v)the burden of performance the covenant (that runs with the Lot) of the Applicants for themselves and their successors in title to the Lot for the benefit of the Vendors as beneficial owners of and successors to title to the Vendors’ Land and the Neighbour as beneficial owner of and successors to title to the Neighbour’s Land that the Vendors and their successors in title to the Lot will be responsible for one third of the cost of repair from time to time and the resurfacing of the Encumbering Right of Way  and the Benefiting Right of Way as defined below (provided always that such repair and resurfacing has not been necessitated by any acts or defaults of the Neighbour as beneficial owner of the Neighbour’s Land or the Vendors’ as beneficial owners of the Vendors’ Land or their respective tenants servants or licencees together with all appurtenances belonging to the Lot;

and especially together with the following easements and covenants in favour of the Applicants and the owners for the time being of the Lot and their tenants and servants and all other persons lawfully authorized:

(i)full free and unrestricted right and liberty of way and passage going to or from the Lot with or without animals and vehicles of all descriptions over and along the road 3.66 meters wide leading from the South-western corner of the Lot in a Southerly direction to join the road next described below (the Benefiting Right of Way

(ii)the right in common with others having like rights to free passage of drainage watercourses cables wires and other conducting media as may be laid or constructed in  or under the Benefiting Right of Way 

(iii)the right to enter upon such parts of the Benefiting Right of Way as are necessary for the purposes of constructing maintaining and repairing such drains pipes watercourses cables wires and other conducting media making good forthwith any damage so caused

(iv)full free and unrestricted right and liberty of way and passage for going to or from the Lot with or without animals and vehicles of all descriptions over and along a road leading from the road described next above in a westerly direction to join Trinity Church Public Road;

(v)the benefit of the performance the covenant (that runs with the Neighbour’s Land) of the Neighbour for themselves and their successors in title to the Neighbour’s  Land and of the covenant (that runs with the Vendors’ Land) of the Vendors for themselves and their successors in title to the Vendors’ Land for the benefit of the Applicants as beneficial owners of the Lot that the Neighbour and her successors in title to the Neighbour’s Land and the Vendors and their successors in title to the Vendors’ Land will respectively be responsible for one third each of the cost of repair from time to time and the resurfacing of the Encumbering Right of Way  and the Benefiting Right of Way (provided always that such repair and resurfacing has not been necessitated by any acts or defaults of the Applicants as beneficial owner of the Lot or their tenants servants or licencees.
