NOTICE IS HEREBY GIVEN pursuant to Section 46(2)(a) of the Act that subject to the satisfaction of certain conditions, every twenty-five (25) issued and unissued shares of HK$0.005 each in the share capital of the Company shall be consolidated into one (1) share of HK$0.125 (“Consolidated Share”) (“Consolidation”) and immediately following the Consolidation, the issued share capital of the Company shall be reduced from HK$43,437,761.20 to HK$1,737,510.45 by cancelling paid up capital to the extent of HK$0.12 on each of the then issued Consolidated Shares (“Capital Reduction”). It is intended that conditional upon satisfaction of certain conditions, the Consolidation and the Capital Reduction will take effect on or about 19 December, 2011.
