NOTICE IS HEREBY GIVEN pursuant to Section 46(2)(a) of the Act that the Company proposes to reduce its issued share capital (“Reduction”) from an amount of between HK$816,366,666.60 and HK$874,766,666.60 by an amount of between HK$653,093,333.28 and HK$699,813,333.28 to an amount of between HK$163,273,333.32 and HK$174,953,333.32 by cancelling paid up capital to the extent of HK$0.04 on each issued ordinary share of HK$0.05 and each issued convertible preference share of HK$0.05. It is intended that conditional upon satisfaction of certain conditions, the Capital Reduction will take effect on or about 15 March, 2012.
