The Members of the above-named Company, acting by written consent without a meeting on 11th May, 2012 passed the following resolutions:

(1)THAT the Company be wound up voluntarily, pursuant to the provisions of the Companies Act 1981;

(2)THAT Robin J Mayor be and she is appointed Liquidator for the purposes of such winding-up, such appointment to be effective forthwith.

NOTICE IS HEREBY GIVEN that by a Deed Poll dated the 9th day of May 2012 and intended to be registered in the Registrar-General’s Office, Hamilton in the Islands of Bermuda, I HOWARD LESLIE SOARES of 2 Lovers Lane Paget Parish PG 05 in the Islands of Bermuda a British Dependent Territory Citizen, formally and absolutely renounced and abandoned the surname of SOARES FIGUERIDO and has assumed and adopted and intended thenceforth upon all occasions whatsoever to use and subscribe the surname of SOARES instead of the surname of SOARES FIGUERIDO so as to be at all times thereafter called, known and described by the name of HOWARD LESLIE SOARES exclusively.
