NOTICE TO CREDITORS AND INVESTORS

WHEREAS:

1. A petition to wind up SageCrest Ltd (“SC Ltd”) and SCFR Limited (“SCFR”) was filed in the Supreme Court of Bermuda on 2 September 2008 and on the same day Peter Mitchell of PricewaterhouseCoopers Advisory Limited was appointed provisional liquidator of SC Ltd and SCFR by the Bermuda Court;

2. SageCrest Holdings Limited (“SC Holdings”), subsidiary of SC Ltd and SCFR, filed for protection under Chapter 11 of the United States Bankruptcy Code (“Chapter 11”) in the United States Bankruptcy Court for Connecticut, Bridgeport District on 20 August 2008 and two affiliated companies, SageCrest II, LLC and SageCrest Finance, LLC (together with SC Holdings the “Debtors”) filed for protection under Chapter 11 on 17 August 2008 (together the “Chapter 11 proceedings”);

3. A petition to wind up Holdings was filed in the Supreme Court of Bermuda on 2 March 2009 and on 3 March 2009 Peter Mitchell of PricewaterhouseCoopers Advisory Limited was appointed provisional liquidator of SC Holdings by the Bermuda Court;

4. Nigel Chatterjee and Dan Schwarzmann were appointed as joint provisional liquidators (“JPLs”) of SC Ltd, SCFR and SC Holdings (together the “Bermuda Companies”) on 15 April 2010 in place of Peter Mitchell and Garth Calow was appointed as a provisional liquidator to act with them on 13 September 2011. 

5. The Debtors, together with SC Ltd, SCFR, Deutsche Bank AG New York Branch as agent for DB Structured Products, Inc. (“DB”) and the Official Committee of Equity Security Holders of SageCrest II, LLC and SageCrest Finance, LLC (and others), filed a joint plan of liquidation in the Chapter 11 proceedings on 4 November 2011 which was amended on 2 December 2011 (the “Plan”); 

6. Upon advice and consideration the JPLs are satisfied that the Plan is in the interests of the creditors and investors and former investors of the Bermuda Companies.

7. A hearing in the US Bankruptcy Court for the confirmation of the Plan was scheduled for 13 December 2011 and the Plan was confirmed on that date;

8. The JPLs intend to seek the authorization of the Bermuda Court to take whatever steps are required by the provisions of the Plan to be taken by Holdings for its implementation; including the transfer of the assets of Holdings in accordance with the Plan to a liquidating trust; 

9. It is intended to give notice to persons who are or who may claim to be entitled to prove as creditors of Holdings under Bermudian law and whose claims will not be extinguished by the Plan of the intention of the JPLs to seek such authorization;

10. The JPLs intend to seek the approval of the Bermuda Court of entry into the Plan by SC Ltd and SCFR including the compromise of certain claims of DB against SC Ltd and SCFR and certain inter-company claims which is to be effected by the Plan; 

11. It is intended to give notice to persons who are or who may claim to be entitled to prove as creditors of SC Ltd and/or SCFR under Bermudian law, or who are investors of either company, of the JPLs’ intention to seek approval of the Plan;

NOW TAKE NOTICE THAT:

A. The JPLs intend to apply to the Supreme Court of Bermuda at a hearing on 2 February 2012 at 11 am (the “Authorisation Hearing”) for an order authorizing the JPLs to take such steps for and on behalf of and in the name of Holdings as may be required to implement the Plan including by way of transfer of their assets and otherwise; and for an order approving the entry into the Plan by SC Ltd and SCFR.

B. Copies of (a) the Plan and (b) the Disclosure Statement to the Plan dated 4 November 2011 may be obtained from the JPLs at: The Joint Provisional Liquidators of SageCrest Ltd, PwC Advisory Ltd, Dorchester House, 7 Church Street, Hamilton HM 11, Bermuda – Attention Alison Tomb - alison.tomb@bm.pwc.com

C. Only creditors of Holdings whose claims will not be extinguished by the Plan, and creditors and investors of SC Ltd and SCFR are entitled to be heard at the Authorisation Hearing (in person or by their Bermudian legal representatives)

D. Any such creditor or investor who wishes to make representations to the Bermuda Court that the authorization and/or approval should not be given, should file an affidavit in the Bermuda Court setting forth the name of the objector, the nature and amount of claims or interests held or asserted by the objector against the particular Bermudian Debtors and the basis and specific grounds for the objection.  The affidavit must be filed in the Bermuda Court at the Registry of the Supreme Court, 113 Front Street, Hamilton, Bermuda and served so as to be actually received by the JPLs no later than 4:00 p.m., Bermuda time (3:00 p.m. prevailing Eastern Time) on 26 January 2012 at  the address given at paragraph B above.

NOTICE IS HEREBY GIVEN that the scheme of arrangement between the Company and its scheme creditors (the “Scheme”) became effective on 9 January 2012 by way of delivering by the provisional liquidators of the Company to the Registrar of Companies in Bermuda an office copy of the Order of the Supreme Court of Bermuda under No. 222 of 2006 dated 2 September 2011 recognizing the Scheme.  Creditors of the Company, if they have not already done so, are required on or before 5:00 p.m., 6 February 2012 (Hong Kong time) to complete and submit a “Notice of Claim for Dividend Purposes” (the “Notice”) to the Joint and Several Scheme Administrators (the “Scheme Administrators”) of the Scheme at 35/F., One Pacific Place, 88 Queensway, Hong Kong.  Further, if so required by the Scheme Administrators, creditors shall either by themselves or through their solicitors prove their debts or claims claimed under the Notice at such time and place as shall be specified by the Scheme Administrators. 

If creditors fail to complete and submit the Notice to the Scheme Administrators by the date and time specified above, creditors shall be disqualified from receiving a dividend and/or ordinary shares of the Company from the Scheme and shall be excluded from the benefit of any dividend/ share distribution made next after that date or, as the case may be, from objecting to any such distribution.
