A dividend is intended to be declared in the above matter in full payment of any debt proved to the satisfaction of the Liquidators.

If you have a debt or claim against the Company, and have not yet lodged a proof of debt with the Liquidators, you are required to do so by no later than 4 p.m. on the 13th day of May 2009.

If you do not prove your debt or claim by 4 p.m. on the 13th day of May 2009, you will be excluded from this dividend

Your attention is drawn to Rule 64 of the Bermuda Companies (Winding-Up) Rules 1982 and Form 54 thereto regarding the required manner and form of any proof of debt. Proofs of debt should be lodged with the Liquidators at the offices of Arthur Morris Christenson & Co., Century House, 16 Par-la-Ville Road, Hamilton HM 08, Bermuda for the attention of Mr Christopher C. Morris not later than 4 p.m. on the 13th day of May 2009. REDUCTION OF ISSUED SHARE CAPITAL

NOTICE IS HEREBY GIVEN pursuant to Section 46(2)(a) of the Act that subject to the satisfaction of certain conditions, the Company proposes to consolidate every 25 shares of HK$0.02 each in issue into one share of HK$0.50 (the "Consolidated Share") (the "Share Consolidation") and thereafter, to reduce its issued share capital from an amount of between HK$72,726,800 and HK$173,415,459.78 by an amount of between HK$71,272,264 and HK$169,947,150.59 to an amount of between HK$1,454,536 and HK$3,468,309.19 by cancelling paid-up capital to the extent of HK$0.49 on each Consolidated Share so that the nominal value of each share in issue will become HK$0.01 (the "Capital Reduction").

It is intended that conditional upon satisfaction of certain conditions, the Capital Reduction will take effect on or about 6 April, 2009.

(a) to round down the total number of the Consolidated Shares in the issued share capital of the Company following the Share Consolidation to a whole number from an amount of between HK$269,461,241.6 and HK$375,899,517.4 to an amount of between HK$269,461,240 and HK$375,899,516, and

(b) to reduce its issued share capital from an amount of between HK$269,461,240 and HK$375,899,516 by an amount of between HK$268,113,933.80 and HK$374,020,018.42 to an amount of between HK$1,347,306.20 and HK$1,879,497.58 by cancelling paid-up capital to the extent of HK$1.99 on each issued Consolidated Share (the "Capital Reduction") so that the nominal value of each share in issue will become HK$0.01.
