NOTICE IS HEREBY GIVEN that Gregory Allan Hunt and Mildred Mae Hunt are applying to incorporate a local company with limited liability to be called:

Victoria Mews Ltd.

The objects for which the Company is formed and incorporated are unrestricted but in particular:

To develop the lands described in the schedule hereto including subdividing the same and building thereon dwelling houses, apartment houses, condominiums, condominium guest houses, cottage colonies, restaurants, hotels, shops and places of sport and recreation and leasing, selling and renting the same and carrying on business as owners and operators of the same.

SCHEDULE

ALL THAT certain lot of land situate in Smith's Parish in the Islands of Bermuda delineated in red and partly coloured green and designated Lot 1A on the plan drawn by Bermuda-Caribbean Engineering Consultants Ltd with reference number SV13833/2/18 dated 28 March 2005 containing Nought decimal point nought nine three of a hectare (0.093ha) and bounded NORTHERLY in part by land now or formerly in the possession of V. Douglas and there measuring Twenty-nine decimal point five nine metres (29.59m) and in part by the right-of-way and there measuring Seven decimal point one six metres (7.16m) EASTERLY in part by the said right-of-way and there measuring Eleven decimal point one four metres (11.14m) and in part by land now or formerly in the possession of S.D and V.D. Johansen and there measuring Eighteen decimal point four four metres (18.44m) SOUTHERLY by other land of the said Gregory Allan Hunt and Mildred Mae Hunt and there measuring Thirty-one decimal point one eight metres (31.18m) and WESTERLY in part by land now or formerly in the possession of H.C. Woolridge and in part by land now or formerly in the possession of Flatts Victoria Recreation Club and there measuring Thirty-three decimal point seven three metres (33.73m) OR HOWEVER OTHERWISE the said lot of land maybe bounded or may measure or ought to be described TOGETHER WITH all houses buildings fixtures wall fences ways rights-of-way rights lights liberties privileges easements advantages and appurtenances whatsoever to the said lot of land belonging or in anywise appertaining or usually held or enjoyed therewith or reputed as part thereof or appurtenant thereto AND ESPECIALLY TOGETHER WITH:

(a) FULL and free right and liberty of way and passage for the owners their successors and assigns and their tenants servants and others lawfully authorised by them with or without horses cattle and other animals carts carriages and vehicles of all descriptions OVER AND ALONG the roadway coloured yellow on the Plan and leading from the Northern extremity of that portion of the parcel of land hereinbefore described and leading in a Northerly direction to the Main Public Road known as Harrington Sound Road and ALSO OVER AND ALONG the vehicular turnaround and roadway also coloured yellow on the Plan and forming a portion of Lot lB as designated thereon and leading from the South-eastern extremity of that portion of the lot of land hereinbefore described firstly in an Easterly and then in a Southerly direction; (b) AND ALSO TOGETHER WITH a right of way and passage for pedestrian traffic only OVER AND ALONG the portion of the walkway One decimal point two two metres (1 .22m) wide coloured yellow on the Plan which forms a portion of Lot lB on the said plan and leading along the southern boundary of the lot of land hereinbefore described between the said turnaround and the area next hereinafter described; (c) AND ALSO FULL and reasonable use for and enjoyment by the said owners and occupiers for the time being of the said lot of land hereinbefore particularly described in this Schedule and their respective tenants and servants and all other lawfully authorised persons ONLY FOR THE PURPOSES of recreational amenities and other similar facilities OF THE area coloured yellow which forms a portion of Lot lB on the Plan marked 'community garden' and 'gazebo';

SUBJECT TO:

(i) FULL and free right and liberty of way and passage for the owners and occupiers for the time being of the lands originally held with the lot of land hereinbefore described and accessible by means of that portion of the lot of land hereinbefore described which is coloured green on the Plan and forming part of the roadway designated thereon as "Town Hill Road" with or without horses cattle and other animals carts carriages and vehicles of all descriptions OVER AND ALONG the said portion of the lot of land hereinbefore described which is coloured green on the Plan and forming part of the roadway designated thereon as "Town Hill Road" for the purpose of going to and from the said Main Public Road known as Harrington Sound Road and the said lands originally held with the parcel of land hereinbefore described;

(ii)FULL and free right and liberty of way and passage for the owners and occupiers for the time being of the lot of land designated as Lot lB on the Plan and all other lawfully authorised persons with or without horses cattle and other animals carts carriages and vehicles of all descriptions OVER AND ALONG the vehicular turnaround forming a portion of the parcel of land hereinbefore described which is coloured green on the Plan; (iii) FULL and free right and liberty of way and passage for the owners and occupiers for the time being of the lot of land designated as Lot 1 B on the Plan and all other lawfully authorised persons for pedestrian traffic only OVER AND ALONG the portion of the walkway One decimal point two two metres (1 .22m) wide partly coloured red and partly coloured green on the Plan which forms a portion of the lot of land hereinbefore described and leading along the southern boundary of the said lot between the said turnaround and the area next hereinafter described;

(iv) FULL and reasonable use for and enjoyment by the said owners and occupiers for the time being of the lot of land designated as Lot lB on the Plan and all other lawfully authorised persons ONLY FOR THE PURPOSES of recreational amenities and other similar facilities OF THE area coloured green within the lot of land hereinbefore described marked 'community garden' and 'gazebo';

(v) AND FULL free right and liberty for the said owners and occupiers for time being of the lot of land designated as Lot lB on the Plan and all other lawfully authorised persons (together with any necessary workmen equipment and appliances) TO ENTER in to or upon the hatched area coloured green on the Plan forming part of the lot of land hereinbefore described and designated thereon as "Utility Easement (1.61 m wide))" and "Transformer Vault" FOR THE PURPOSE of laying inspecting repairing renewing and maintaining any cables wires and pipes for the time being laid thereunder or for the laying of additional cables wires and pipes for the purpose of supplying electricity and telephone wires and other services to Lot lB and in respect of such operation or operations to dig remove turf soil and/or paving and to do and erect such other works as may be necessary (causing no unreasonable obstruction to the free passage of persons animals and vehicles thereover) PROVIDED ALWAYS that any such turf soil and/or paving so disturbed or removed shall be replaced in proper condition with due expedition.
